Terms of Service
These terms govern your use of this website and of any BQX service we make available to you through it.
About these terms
These terms of service form an agreement between you and the company identified in section 2. They apply when you visit this website, and when you use any feature, page or service we make available through it.
Please read them before you use the site. By using the site you accept these terms. If you do not accept them, please do not use the site.
Who we are
This website is operated by BQX, a limited liability company registered in Dubai, UAE. In these terms, "we", "us" and "our" refer to that company, and "you" refers to the person using the site.
You can reach us at the address in section 20.
Eligibility
You may use this site only if you are able to form a binding contract in your jurisdiction, and only where doing so is lawful there. If you use the site on behalf of an organisation, you confirm that you are authorised to accept these terms for that organisation, and these terms then bind it.
This site is not directed at children, and we do not knowingly make it available to them.
What this website is
This site presents general information about BQX and its positioning. It is provided for information only.
Nothing on this site is an offer, a recommendation, or professional advice of any kind, and nothing on it should be relied on as legal, financial, tax, accounting or other professional advice. Information on the site may be summarised, may become out of date, and may change without notice. You are responsible for any decision you take on the basis of it.
Services and separate agreements
Where we make a product or service available to you, whether through this site or otherwise, that product or service is governed by the agreement we enter into with you for it, together with any order form, plan description or documentation we provide.
If that agreement conflicts with these terms in respect of the product or service, that agreement prevails. These terms continue to apply to your use of this site.
Acceptable use
You agree to use this site lawfully and reasonably. In particular, you agree not to:
- use the site in a way that breaks any law or regulation that applies to you, or that infringes anyone else's rights
- attempt to gain unauthorised access to the site, to any account, or to any system or network connected to it
- interfere with the operation, integrity or security of the site, or place an unreasonable load on it
- introduce any malicious code, or attempt to probe, scan or test the site's defences without our written permission
- collect data from the site by automated means, or extract, reuse or republish substantial parts of it, without our written permission
- misrepresent your identity or your affiliation with any person or organisation
- use the site to send unsolicited communications, or for any fraudulent or deceptive purpose
We may investigate and take the steps we reasonably consider appropriate where we believe this section has been breached, including reporting the matter to the relevant authorities.
Accounts and security
Some features may require an account. If you are given credentials, you are responsible for keeping them confidential, for the accuracy of the information you register, and for activity carried out under your account.
Tell us promptly if you believe your credentials or your account have been compromised. We may suspend access where we reasonably believe that is necessary to protect the security of the service or of other users.
Connected third-party accounts
Some features work only if you choose to connect an account you hold with another provider. Where you do, the following applies.
You decide, and you can undo it
A connection is made only when you authorise it, through the other provider's own sign-in and consent process. You can end it at any time, either from within our service or from the other provider's own security settings. Once a connection ends, we stop accessing that account.
We ask for what the feature needs
We request only the permissions required for the features you have chosen to enable, and we use the access those permissions give us only to provide those features to you. Where a feature can operate without permission to make changes, we do not request permission to make changes.
The other provider's terms still apply
Your account with the other provider remains governed by your agreement with that provider. You are responsible for having the right to connect the account, and for any permission you need from your organisation before doing so. We are not responsible for that provider's service, its availability, or any change it makes to it.
How we handle information obtained through a connected account is described in our privacy policy.
Your content
You keep ownership of the material you submit to us or make available to us. You grant us the permission we need to host, process and transmit that material for the purpose of operating the site and providing the services you have asked for, and for no other purpose.
You are responsible for the material you submit, and you confirm that you have the rights necessary to submit it and that it does not break the law or infringe anyone else's rights.
Intellectual property
The site, and its text, design, layout, graphics, artwork and code, are owned by us or by our licensors and are protected by intellectual property laws. Our names, logos and marks are ours, and nothing in these terms grants you a right to use them.
You may view the site and print or download extracts for your own reference. Any other use, including copying, adapting, distributing, framing or republishing any part of the site, requires our prior written permission.
Third-party materials
The site may link to, or refer to, material controlled by other people. We provide those references for convenience. We do not control that material, we do not endorse it, and we are not responsible for it. Following an external link is at your own risk, and the terms and privacy practices of the destination will apply there.
Availability and changes
We aim to keep the site available, but we do not guarantee that it will be available, uninterrupted or free of error, and we do not guarantee that any defect will be corrected.
We may change, suspend, restrict or withdraw the site, or any part of it, at any time and without notice. We may also carry out maintenance that makes the site temporarily unavailable.
Disclaimers
To the fullest extent permitted by law, the site is provided on an "as is" and "as available" basis, and we exclude all representations, warranties, conditions and terms that are not expressly set out in these terms, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted operation.
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, opportunity, goodwill, anticipated saving or data, however it arises and whether or not we were advised that it might arise.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with your use of this site, whether in contract, tort including negligence, statute or otherwise, is limited to one hundred United States dollars (USD 100), or, where you have a separate written agreement with us for a paid service, to the amount stated in that agreement for the claim in question.
These limits apply to the fullest extent permitted by the law that applies to you. Some jurisdictions do not allow certain exclusions or limitations, in which case the exclusions and limitations above apply only so far as that law allows, and your statutory rights are unaffected.
Indemnity
You agree to indemnify us, and our officers, employees and agents, against any claim, loss, liability, cost or expense, including reasonable legal fees, arising out of your use of the site in breach of these terms, your breach of any law, or your infringement of anyone else's rights.
Suspension and termination
We may suspend or end your access to the site, in whole or in part, at any time, where we reasonably believe you have breached these terms, where we are required to do so by law, or where suspension is necessary to protect the site, our users or a third party.
You may stop using the site at any time. The sections that by their nature are intended to survive, including sections 9, 10, 13, 14, 15 and 17, continue to apply after your access ends.
Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict of law rules.
You and we agree to submit to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. If you are a consumer resident elsewhere, this does not deprive you of the protection of any mandatory law of your place of residence, or of the right to bring proceedings there where that law gives you it.
Before starting proceedings, we each agree to try in good faith to resolve the matter by writing to the other at the address in section 20 and allowing thirty days for a response.
Changes to these terms
We may update these terms from time to time. When we do, we will change the effective date shown at the top of this page and publish the revised version here.
Changes take effect when they are published. Your continued use of the site after that point means you accept the revised terms. If a change is material and affects a service governed by a separate agreement, we will give notice in the way that agreement requires.
General
These terms, together with any separate agreement covering a service you use, are the entire agreement between you and us about the site, and replace any earlier understanding about it.
If any provision is found to be unenforceable, the rest continues in force and the provision is applied so far as it lawfully can be. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer your rights under these terms; we may do so to an affiliate, or in connection with a merger, reorganisation or sale of assets. Nothing in these terms creates a partnership, agency or employment relationship between us, and no one other than you and us has a right to enforce them.
Contact
